Reference Projects in Privatization & Foreign Investment Law
Bulgartabac Holding AD - while working for his previous law firm the Managing Partner Stefan Gugushev led the Bulgarian legal team in the privatization procedure of the Bulgartabac Holding structure and its subsidiaries. Mr. Gugushev acted on the side of the Bulgarian Government together with the international legal consultant Freshfields Brukhaus Deringer, and the international finance consultant Morgan Stanley. The work comprised legal consultancy on the current Bulgarian legislation on all relevant issues, among which corporate and commercial law, foreign investments, privatization law, labour law, intellectual property, finance, tax. It also included the preparation of due diligence reports for all of the twenty-two manufactorers /members of BTH/, as well as legal advice and consultations on a share purchase agreement, tax and corporate advice, and participation in negotiations with the bidders. Analyses and organization of data room and side visits were produced. The legal advice also included revision of escrow agreement relevant to the SPA contract.
Plovdiv Public Transport Privatization - while working for his previous law firm the Managing Partner Stefan Gugushev advised Egged Holding Limited as the legal team leader in the privatization procedure for the acquisition of 67 % of Plovdiv Public Transport Company. In that relation Mr. Gugushev participated in the legal due diligence and drafted with his team the legal due diligence report. As a result, Egged Holding Limited won second place in the tender and appealed against the first winning bidder before the Plovdiv District Court. Mr. Gugushev also participated in the negotiation of the share transfer agreement and assisted through the tender procedure.
DZI Bank - while working for his previous law firm the Managing Partner Stefan Gugushev participated in the legal team advising Volks Bank in the purchase of DZI Bank. Mr. Gugushev took main part in the due diligence process and made analyses based on the data room information.
First Investment Bank AD - while working for his previous law firm Mr. Stefan Gugushev participated in the team dealing with the transfer of 20 % of the shares of First Investment Bank, owned by that time by the European Bank for Reconstruction and Development, to two London Hedge Funds - Hillside Apex Fund Limited and Growth Management Limited. The legal advice was related to research of the existing By Law and the obligations related to it, as well as revision of the Share Purchase Agreement and the Shareholder Agreement between the companies. Mr. Gugushev did also attend and vote through Power of Attorney at the general meeting of the Bank, and also advised on the rising of the Bank shares on the Bulgarian Stock Exchange.
Netcare Hospital Group - the biggest private hospital operator in the UK and South Africa - consultations on setting up a joint venture in Bulgaria and a public-private partnership for the management of a hospital in Bulgaria.
Netcare South Africa - advising the company in the negotiation with the Bulgarian Government for a Public-Private Partnership on the management of one of the top hospitals in Bulgaria. Gugushev & Partners provided full legal due diligence report for the hospital, its legal status and suppliers.
DLA Piper Rudnick Gray Cary - while working for his previous law firm Mr. Stefan Gugushev provided legal advice and assistance related to an insurance claim of First Investment Bank AD against the insurance company AIG Bulgaria, involving liability on Banker's Blanket Policy.
Raiffeisen Bank, Hungary - while working for his previous law firm Mr. Stefan Gugushev provided legal advice on a refinancing scheme, involving the structuring and the securitization of an LBO transaction in five Bulgarian telecoms worth EUR 80 000 000. The international Consultant on the project was CMS Cameron MacKenna, Hungary.
Kremikovtsi AD - while working for his previous law firm Mr. Stefan Gugushev provided legal adviceon a debt restructuring scheme related to the State obligations of Kremikovtsi AD. He also provided advice on State Aid Issues.
