Gugushev & Partners Law Office advised the Helios group on two distinct engagements in the Bulgarian renewable energy sector — ongoing regulatory compliance support and a landmark cross-border acquisition.

On the regulatory side, the firm provides continuous legal support to Helios Projects JSC, - a leading photovoltaic company in Bulgaria operating a solar park with an installed capacity of 50 MW, - in navigating the complex regulatory framework governing renewable energy operations in Bulgaria. This included ensuring compliance with REMIT, KYC, and AML obligations, structuring corporate documentation, and managing mandatory reporting and approval procedures before the Energy and Water Regulatory Commission (EWRC) and the Financial Supervision Commission (FSC). The firm also conducts a comprehensive contract review for the client's solar parks and provides legal representation in arbitration and court proceedings challenging regulatory inaction to protect the client's investments.

Another notable work for the client was when the firm advised on the acquisition of Helios Projects JSC in a EUR 65 million transaction financed by UniCredit Bulbank AD. The deal required regulatory clearance from both the Commission for Protection of Competition (CPC) and the EWRC. The transaction involved the sale of a Bulgarian asset by a Chinese parent company and was coordinated across three jurisdictions — China, Switzerland, and Bulgaria. The team, consisting of Stefan Gugushev, Dimitrinka Metodieva, and Kostadinka Deleva, prepared the full transaction documentation, conducted the negotiations, and completed all relevant post-closing registrations.
